Yes is answer to your question, this faster 800mhz memory is fully backwards compatible; but will operate in your system at pc2-5300 speed (667mhz) if that is the fastest your motherboard will allow - same with all other ddr2 ram speed/motherboard combos.
Go ahead and buy if it's what u want, this memory & ocz name is regarded as being amongst the best there is.

A response to hellrasier1 it should work on that Dell if you have a 64bit OS. XP32 & VISTA32 only reconizse 3.4GB of Ram.
As for the Memory I don't own a pair of these but know a friend who does and there fast enough for most things he says.
